Carl brings strategic precision, technical expertise, and business acumen to complex, high-stakes, highly regulated transactions.
“I enjoy structuring transactions on a technical level, and always feel a sense of satisfaction upon closing, but the most rewarding part of my practice is simply helping clients to build their businesses.”
Carl joined Levy Craig in 2025, where he guides clients through mergers and acquisitions, entity formation and reorganizations, taxation, growth-stage equity financing, and compliance in highly regulated industries.
His past work includes guiding a venture capital client through the formation of a bespoke fund and the multi-phase acquisition and integration of a network of Midwest operating companies — ultimately creating a vertically integrated operating company that he later assisted in selling in a nine-figure transaction to a private institutional buyer.
He has structured and executed a nine-figure spinoff of a U.S. subsidiary from a European parent company, overseeing the seamless transfer of sensitive intellectual property and corporate contracts to support a major U.S. strategic investment.
And in the venture capital space, he has handled the financing of a high-tech compliance software startup from Series A through D, closing over $100 million in funding while navigating an intricate regulatory landscape and diverse compliance matters with the SEC and state regulators.
When asked what he finds most rewarding about being an attorney, Carl says, “Whether on behalf of a lender, borrower, buyer, seller, or startup, I see each deal as an opportunity to maximize efficiency, minimize risk, and optimize outcomes for my clients. Helping my clients to grow and thrive is why I became a lawyer.”
